Panther Metals Secures £2.22m Canadian Flow-Through Raise at 24% Premium

A pioneering flow-through financing structure lets Panther Metals raise cash above the market price to fund drilling in Ontario.

Panther Metals PLC (AIM: PALM) has agreed to raise £2.22 million (C$4.16 million) through a Canadian flow-through financing to bankroll its critical-minerals exploration drive in Ontario, becoming, it says, the first solely UK-listed company to use the mechanism.

The structure saw Panther issue 980,398 flow-through units at £2.26 each, equivalent to C$4.24, a price that sits 24% above the company's closing share price on 7 October. The premium reflects tax reliefs available to qualifying Canadian subscribers under the flow-through regime, rather than any immediate re-rating of Panther's own stock.

Each unit comprises one ordinary share plus half a warrant, with the resulting 490,199 whole warrants exercisable at £2.67 for 36 months. PearTree Securities is handling the Canadian side of the deal, while SI Capital acts as UK placing agent and will later arrange a secondary block trade of the units to selected UK and US institutional investors, although the flow-through tax benefits stay with the original Canadian subscribers only.

Proceeds are ring-fenced for qualifying Canadian exploration and critical-mineral expenditure, meaning the cash cannot be used for general working capital. Panther says the raise will primarily fund the continuation of its Phase 1 diamond drilling at the Wishbone VMS Prospect, part of the Obonga Project in northwest Ontario, extending the programme into 2027. Chief executive Darren Hazelwood said the deal fully funds planned exploration for the next 12 months and ticks off one of the final steps towards a CSE listing.

Completion is targeted for on or around 16 October 2026, subject to regulatory sign-off and standard closing conditions. Once the new shares are admitted, Panther expects roughly 12.17 million shares in issue, with the placing representing about 8% of the enlarged capital. The trade-off for shareholders is dilution now and potentially more if the warrants are exercised, with the ultimate payoff hinging on whether the expanded Wishbone drilling delivers results that meaningfully advance the project.
