An AIM-listed biotech's small stake in an unlisted pharma group has suddenly looked a lot more interesting after a €161 million acquisition.

ValiRx Plc (AIM: VAL) saw its shares move on 20 October 2026 after it reminded investors of its indirect 5.55% shareholding in Ambrose Healthcare, the private pharmaceutical group that has just agreed to acquire AM-Pharma for up to €161 million.

The stake, held through ValiRx's 54.14%-owned subsidiary ValiSeek alongside its joint venture with Tangent Reprofiling, amounts to 651,000 Ambrose shares. Those were issued to ValiSeek under a June 2025 licensing deal covering VAL401, ValiRx's cancer treatment programme, plus an earlier option agreement for 75,000 shares.

The licensing arrangement also carries potential milestone payments of up to £16 million plus royalties, contingent on VAL401's successful development and commercialisation. ValiRx chief executive Mark Eccleston said ValiSeek is now Ambrose's third-largest shareholder and stands to benefit should the AM-Pharma acquisition lift Ambrose's overall value.

AM-Pharma brings a clinical-stage programme targeting hypophosphatasia, a rare metabolic disorder, backed by more than US$250 million of prior investment and Orphan Drug Designation from both the FDA and EMA. Despite a disappointing Phase 3 result in its original sepsis-related indication, Phase 1b data in HPP patients showed dose-dependent biomarker effects, supporting a single pivotal study pathway. Eccleston believes the deal could also strengthen Ambrose's broader European regulatory and development infrastructure, potentially benefiting VAL401 too.

ValiRx was careful to stress that the €161 million consideration is not a formal valuation of Ambrose, and its indirect stake does not entitle it to a proportional share of that figure. Any eventual financial upside will hinge on Ambrose's future development progress, valuation and the structure of any liquidity event, with investors now watching integration of the AM-Pharma asset and continued progress on VAL401.
