Premier African Minerals sinks 27.5% as shareholders asked to back $12.7m fundraise plan

Zimbabwe-focused miner seeks authority to issue stock and consolidate shares tenfold as it plots a route to $19.1m of funding by 2027.

Premier African Minerals (AIM: PREM) tumbled 27.5% to 0.00925p after the company published a circular calling a general meeting to secure shareholder approval for fresh share issuance and the disapplication of pre-emption rights.

The sharp fall came as investors digested the scale of dilution potentially in store: management has flagged a funding requirement of $19.1m through to the end of 2027, and the resolutions being put to shareholders would give the board headroom to raise around $12.7m at a nominal 0.016p a share.

Premier African Minerals stressed the full amount would not be raised in a single tranche, suggesting a staged approach to tapping the market as capital needs arise rather than one large dilutive placing. Alongside the share issuance authority, the company is also proposing a ten-for-one share consolidation, a move often used by AIM issuers to lift a depressed nominal share price and reduce the sheer volume of stock in issue.

The steep share price reaction underlines how sensitive small-cap mining investors remain to dilution risk, particularly where funding requirements are large relative to current market capitalisation and pricing is set at deeply discounted levels such as 0.016p.

Attention now turns to the outcome of the general meeting, where shareholders will vote on both the share issuance powers and the consolidation. Further updates on the timing and structure of any capital raise, as well as progress on the underlying operations funding the $19.1m requirement, are likely to be the next catalysts for the stock.
